Short answer: Yes, buying and selling pre-owned (second-hand) software licences is legal in the UK. “Why are Windows 11 Pro keys so cheap?” is a fair question when Microsoft charges £219.99 and a licence elsewhere costs under £30. There are two very different answers. Some cheap keys are grey-market: leaked volume keys, education or region-locked keys and keys generated in bulk that activate today and fail next month. What a pre-owned software licence is
When Microsoft sells a perpetual licence for Windows or Office — a licence bought once, with no expiry — it grants the right to use that software indefinitely. Businesses buy these licences in volume, then wind down, merge, migrate to Microsoft 365, replace their PCs or simply over-buy. The licences they hold are still valid but unused. Specialist traders buy those surplus licences, document the transfer, make sure the previous owner has stopped using them, and sell them on. That is a pre-owned licence: the same software, the same activation servers, a different history.
A pre-owned licence is not a subscription. Microsoft 365, Kaspersky and Autodesk products cannot be second-hand because the right to use them ends when the term ends; only perpetual licences such as Windows 10, Windows 11, Office 2016, 2019 and 2021 can be resold. Is it legal to buy second-hand software licences in the UK?
UsedSoft v Oracle (CJEU, 2012)
The foundational case is UsedSoft GmbH v Oracle International Corp (C-128/11), decided by the Court of Justice of the European Union on 3 July 2012. Oracle argued that a licence downloaded from the internet could not be resold. The court disagreed: where a copyright holder sells a copy of a program — on disc or by download — for a fee that reflects its economic value, and grants a right to use it for an unlimited period, its right to control further distribution of that copy is exhausted. The first buyer may resell the licence, provided they make their own copy unusable at the time of sale. Licence terms that say “non-transferable” cannot override that. The judgment forms part of the retained EU case law that UK courts continue to apply.
ValueLicensing v Microsoft (UK, 2025–2026)
The UK confirmation came in litigation between JJH Enterprises, trading as ValueLicensing, and Microsoft. ValueLicensing resells pre-owned Microsoft perpetual licences and alleged that Microsoft had tried to suppress the second-hand market through contract terms and incentives. In November 2025 the Competition Appeal Tribunal ruled unanimously that customers could resell their licences under the exhaustion principle, and on 7 July 2026 the Court of Appeal dismissed Microsoft’s appeal, rejecting the argument that the icons, fonts and clip art bundled with Office took the software outside the UsedSoft rule and confirming that volume licences can be split up for resale. ValueLicensing’s damages claim continues, but the legal position on resale is settled: a perpetual Microsoft licence lawfully acquired in the UK or EU can be sold on.
What the law requires of a lawful transfer
- The licence must be perpetual and have been sold for a fee — not a subscription, trial, rental, education or evaluation licence.
- The previous holder must stop using the software and make their copy unusable.
- The whole licence transfers: the reseller cannot split one licence into several users, though a volume agreement can be broken into its individual licences.
- The licence must have been first sold in the UK or EEA with the rights-holder’s consent; exhaustion does not apply to copies first sold elsewhere.
- The buyer receives the same rights and the same restrictions as the original holder, including any maintenance or update terms that came with it.
Why pre-owned licences cost so much less
Microsoft’s retail price is set to fund a new licence, its marketing and its channel. A pre-owned licence has already done all of that once. The seller bought it from an organisation that valued it at little or nothing — a firm in administration, a company that moved 500 staff to Microsoft 365, an IT department with 40 unused Office 2019 licences on a shelf — and can profit at a fraction of Microsoft’s price. Digital delivery removes packaging and postage.
